2026-2027 Season · OLT Pro Web Package
OLT Pro Web Package
This Agreement is entered into between BPrep Tax Services, a Texas business located in Arlington, Texas, doing business as BPrep Tax Software (“BPrep”), and [Your name / business], located in [your state] (“ERO”). BPrep and ERO are each a “Party.” By paying for the package described below and signing, ERO agrees to the following terms.
This Agreement sets the terms under which BPrep provides ERO with OLT Pro Web tax software as a service bureau, and the rules ERO agrees to follow while using it.
This Agreement covers the 2026-2027 tax filing season. It begins on the date ERO signs and ends on October 31, 2027, unless ended earlier under the Termination section. It does not renew automatically. Any future season requires a new purchase and a new agreement.
Package. ERO is purchasing the OLT Pro Web package for the 2026-2027 season. The Package Fee is the package price shown at checkout. ERO may pay it in full at checkout or use BPrep's ERO payment plan (software packages only). Buy-now-pay-later options such as Klarna or Affirm may also be offered at checkout by Stripe; those are between ERO and that provider.
Discounts and Waivers. If BPrep discounts or waives the Package Fee (for example, with a promotion code), every other term of this Agreement still applies, including the Fee Schedule in Schedule A.
All Sales Final. THE PACKAGE FEE IS NON-REFUNDABLE once paid, including if ERO does not use the software, does not file any returns, is not approved for an EFIN or bank products, or if this Agreement ends early for any reason.
Chargebacks. ERO agrees not to dispute or reverse a completed payment with a bank or card company. A payment dispute is a breach of this Agreement, and BPrep may suspend access until it is resolved.
Payment Plan. If ERO chooses the payment plan, ERO pays a $99.00 down payment at checkout. BPrep collects the rest of the Package Fee from ERO's first bank-product funding payout (the "first drop"), by deducting it from ERO's add-on fees on that payout. ERO may pay the balance early at any time. If the first payout is not enough to cover the balance, BPrep keeps collecting from later payouts, and any balance not collected by the last add-on payout of the season is due within thirty (30) days of BPrep's invoice. The payment plan is available only to EROs buying a software package, not to website or bundle packages. The down payment and all amounts paid are non-refundable.
Balances Due. Except for a payment plan balance (which follows the Payment Plan terms above, when they apply), any amount ERO still owes BPrep must be paid by March 15, 2027. BPrep may collect an unpaid balance from ERO's add-on fees or other amounts BPrep owes ERO. If the balance is not paid by March 15, 2027, BPrep may turn off software access and related services until it is paid.
For the Term, BPrep will provide ERO with the following:
(a) OLT Pro Web with unlimited individual and business returns and all 50 states, for the 2026-2027 season, supplied through BPrep as service bureau.
(b) Help enrolling in bank products.
(c) A 1-on-1 setup session and live training.
(d) BPrep support throughout the season.
Software is made and hosted by a third-party company. BPrep is an independent service bureau and is not owned by or affiliated with TaxSlayer or OnLine Taxes (OLT). BPrep is not responsible for outages, errors, feature changes or price changes made by the software company, and does not guarantee the software will be available at all times.
Bank Products. BPrep will help ERO apply for bank products (such as refund transfers) through BPrep's bank partner(s). Approval is decided by the bank, not BPrep, and is not guaranteed. ERO must pass the bank's compliance exam and any other bank requirements before offering bank products.
Fee Schedule. The per-return fees for returns filed with a bank product are listed in BPrep's current Fee Schedule, attached as Schedule A. They are deducted from the client's refund through the bank product. They are not billed up front and do not apply to returns filed without a bank product.
Required and Optional Fees. The BPrep service bureau fee and the transmitter fee are REQUIRED on every return filed with a bank product. Audit protection and identity theft protection are OPTIONAL products. They are charged only on returns where the client chooses to buy them, and ERO must not add them to a return unless the client has agreed.
Fee Changes. If a bank, software company or other third party changes its fees, the new fees apply automatically when they take effect, without an amendment to this Agreement. BPrep will update the Fee Schedule and notify ERO of any change to BPrep's own fees before it applies.
Add-On Fees. ERO may add its own add-on fees to bank-product returns, up to the limits set by the bank and software company.
Add-On Payout Timing. Add-on fees are not paid when a return funds. The bank or software company releases them to BPrep in batches, and BPrep pays ERO within ten (10) business days after BPrep receives them. Expected timing: add-on fees on returns funded January 1 through April 15 are paid after June 15, and add-on fees on returns funded April 16 through October 15 are paid after December 15, unless the bank or software company releases them sooner. ERO SHOULD NOT RELY ON ADD-ON FEES FOR CASH FLOW DURING THE FILING SEASON. ERO's own prep fees are paid by the bank under the bank's terms and are not held by BPrep.
Fee Disclosure. ERO must disclose all fees charged to the client, including prep fees, add-on fees and bank product fees, as required by the bank and applicable law. ERO will not charge any fee the bank or law does not allow.
Funding Ratio. ERO must keep a funding ratio of at least 80% on bank-product returns. The funding ratio is the number of ERO's bank-product returns that fund, divided by the number of ERO's bank-product returns the IRS accepts, measured for the current season to date. For example, if the IRS accepts 100 of ERO's bank-product returns and 85 of them fund, ERO's funding ratio is 85%. The bank calculates the ratio using its own reports, and the bank's calculation controls.
If the Funding Ratio Drops. A ratio below 80% at one point in the season does not automatically end ERO's bank products. If BPrep learns ERO's ratio has dropped below 80%, BPrep will notify ERO and help review the cause (for example, returns rejected, offset or filed with errors). The bank alone decides whether to warn, limit or remove ERO's bank products. If the bank removes them, BPrep is not liable and cannot override the bank, and ERO may not submit bank products through a different bank during the Term.
Reconciliation. BPrep's records and the bank's funding reports control. If a fee is reversed, charged back or not funded, BPrep may adjust amounts owed to ERO accordingly.
Credentials. ERO (and every preparer ERO allows to use the software) must hold a valid, current PTIN before preparing any return.
EFIN Required. ERO must have its own active EFIN before e-filing any return. ERO may NOT file under BPrep's EFIN at any time. If ERO does not have an EFIN yet, BPrep will guide ERO through the IRS application, but approval and timing are decided by the IRS. A delayed or denied EFIN does not entitle ERO to a refund.
Compliance. ERO will follow all IRS rules that apply to paid preparers and EROs, including IRS Publication 1345, Circular 230 where it applies, and due diligence requirements (Form 8867) for EITC, CTC/ACTC/ODC, AOTC and head of household claims.
Client Data. ERO will protect client information as required by law, including the FTC Safeguards Rule and IRS Publication 4557, keep a written information security plan (WISP), and get client consent under IRC Section 7216 before using or sharing client information for any purpose other than preparing the return.
No Fraud. ERO will not file false or unsupported returns, inflate credits or deductions, use a client's refund for anything the client did not authorize, or charge fees based on the size of the refund.
Records. ERO will keep copies of returns, client documents, due diligence records and signed consents for at least three (3) years, and share them with BPrep on request if needed to answer a bank, IRS or software company inquiry.
Account Security. ERO will not share logins, and is responsible for everything done under its accounts.
Registration. ERO will send BPrep the documents needed to register its software and bank products, including its EFIN summary and ERO ID, and the same documents for each sub-office or location it adds.
No Reselling. ERO will not resell, sublicense, copy or share the software, BPrep's training or BPrep's materials, except with its own preparers as this Agreement allows. Each office that transmits returns needs its own license.
Bonus. ERO can earn a backend bonus on each of its team's funded bank-product returns during the season, at the following levels. Each rate applies only to the returns within that level:
(a) Returns 1 to 50: $2 per return
(b) Returns 51 to 150: $5 per return
(c) Returns 151 to 300: $7 per return
(d) Returns 301 and up: $10 per return
Example. With 200 funded returns, the bonus is (50 x $2) + (100 x $5) + (50 x $7) = $100 + $500 + $350 = $950. It is NOT 200 x $7. Reaching a higher level raises the rate only for the returns within that level, not for returns already counted at lower levels.
Counting Returns. A return counts only when it was filed with a bank product, the bank product funded, and BPrep has verified the funding on the bank's report. Returns must be logged in BPrep's return tracker.
Payment. The bonus is paid after the tax filing season closes, once BPrep completes its reconciliation with the bank. BPrep may reduce the bonus for returns that are reversed, charged back, rejected or found to violate this Agreement. No bonus is earned on BPrep's own team or on returns filed in breach of this Agreement.
ERO may add preparers to its team. ERO decides each preparer's pay split and any retainer ERO charges its own preparers, and ERO is solely responsible for paying them.
ERO's preparers are not employees or contractors of BPrep. ERO is responsible for making sure each of its preparers follows this Agreement, holds a valid PTIN and completes any training BPrep or the software company requires.
ERO will make sure its team logs each return in BPrep's return tracker within two (2) business days of filing, using client initials or an ID only.
This section applies only if ERO adds SmartWiz AI data entry, either by checking the SmartWiz box when signing or by adding SmartWiz at checkout.
SmartWiz Fees. ERO pays the SmartWiz fees listed in Schedule A: a signup fee at checkout, a setup fee collected from ERO's first bank-product funding(s) of the season before other amounts are paid to ERO, and a per-return fee for each return processed with SmartWiz. The add-on includes the season return minimum in Schedule A. If ERO processes fewer returns than the minimum, the per-return fee for the unused minimum is due at the end of the season.
SmartWiz Balance. If ERO's fundings do not cover the setup fee or other SmartWiz fees by the last add-on payout of the season, the rest is due within thirty (30) days of BPrep's invoice. SmartWiz fees are non-refundable, including if ERO stops using SmartWiz.
SmartWiz Use. SmartWiz is made and operated by a third-party company and is a trademark of its owner. It is a data entry tool only. ERO remains fully responsible for reviewing every return before filing, and must get client consent under IRC Section 7216 where required before uploading client documents. SmartWiz access ends if ERO's software package ends.
ERO is an independent business, not an employee, partner or agent of BPrep. ERO controls how and when it prepares returns and is responsible for its own taxes, licenses, insurance and business expenses. ERO will not state or suggest that it is BPrep.
No Affiliation Claims. Buying software or services through BPrep does not make ERO an employee, branch, office, affiliate, franchise, partner, agent or authorized representative of BPrep Tax Services or BPrep Tax Software. ERO will not describe itself that way (including titles like "BPrep Partner" or "BPrep Office"), and will not use BPrep's name, logo or branding in its own marketing, social media, signage or client materials without BPrep's written permission. ERO may truthfully say it uses tax software supplied through BPrep's service bureau.
BPrep sells software, service bureau access, training and support. BPrep does not promise or guarantee ERO's income, profits, number of clients or returns, refund amounts, bank-product approval, add-on fee amounts or backend bonus amounts. Any examples, projections or success stories BPrep shares are illustrations only, not promises. ERO's results depend on its own work, pricing, compliance and clients. ERO confirms it is not relying on any earnings claim in deciding to buy.
Each Party will keep the other's non-public business information (pricing, fee structures, bank arrangements, training materials and client information) confidential, and use it only to carry out this Agreement. This continues after the Agreement ends.
During the Term and for twelve (12) months after it ends, ERO will not recruit or solicit BPrep's preparers, EROs, service bureau partners or employees to leave BPrep, and will not use BPrep's confidential information to take BPrep's clients.
BPrep will not use information it receives under this Agreement to solicit ERO's own preparers or clients that ERO has reported to BPrep. If one of them contacts BPrep directly, BPrep will let ERO know.
Notice and Cure. If ERO breaks this Agreement in a way not listed under Immediate Termination below, BPrep will give ERO written notice by email. ERO then has ten (10) business days to fix the problem. If it is not fixed in that time, BPrep may end this Agreement. BPrep may pause access during the cure period only if needed to protect clients, BPrep's bank relationships or BPrep's systems.
Immediate Termination. BPrep may suspend or end ERO's access immediately, without a cure period, if ERO or anyone on its team: (a) files fraudulent or knowingly false returns; (b) has a data security incident or misuses client information; (c) violates IRS, bank or software company rules, or is sanctioned or suspended by any of them; (d) disputes or reverses a payment to BPrep; or (e) puts BPrep's EFIN or bank relationships at serious risk.
Termination by ERO. ERO may end this Agreement at any time by written notice. The Package Fee and any balances owed are not refunded or forgiven.
Effect of Termination. If this Agreement ends, the Package Fee is not refunded. BPrep may withhold any unpaid bonus or other amounts to cover chargebacks, reversals, penalties or losses caused by ERO. ERO must stop using BPrep's software access and materials.
BPrep's total liability under this Agreement is limited to the Package Fee ERO paid for the current season. BPrep is not liable for lost profits, lost clients, IRS penalties caused by ERO's returns, or outages or errors of third-party software or banks.
ERO will defend and hold BPrep harmless from any claims, penalties, chargebacks or losses caused by the returns, fees or conduct of ERO or its preparers.
BPrep will defend and hold ERO harmless from any claims or losses caused by BPrep's own gross negligence or willful misconduct. The liability limit above does not apply to a Party's gross negligence, willful misconduct or fraud.
Governing Law. This Agreement is governed by the laws of the State of Texas. Any dispute will be handled in the courts of Tarrant County, Texas. BPrep is located in Texas and ERO is located in the state listed above. Each Party must also follow the tax-preparer, licensing and business laws of the state where it operates.
Entire Agreement. This Agreement is the entire agreement between the Parties about this package and replaces any earlier discussions. Changes must be in writing and agreed by both Parties.
Electronic Signature. The Parties agree that electronic signatures on this Agreement have the same effect as handwritten signatures.
Severability. If any part of this Agreement is found unenforceable, the rest stays in effect.
Assignment. Neither Party may transfer this Agreement to someone else without the other's written consent, except that BPrep may transfer it to a successor of its business.
Attorney Fees. In any dispute over this Agreement, the winning Party may recover its reasonable attorney fees and costs.
Notices. Notices to BPrep must be sent by email to tdiggs@bprepsvcs.com. Notices to the other Party go to the email address it gives when signing.
